Please read these Terms & Conditions (“Terms”) carefully before accessing this website, booking or purchasing services, or participating in any offering provided by KIYA Wellness LLC (“KIYA Wellness,” “we,” “us,” or “our”).
These Terms apply to the KIYA Wellness website, private sessions, prepaid session series, coaching programs, workshops, trainings, certifications, mentorships, digital offerings, and other products or services offered by KIYA Wellness, unless separate terms expressly apply.
By accessing or using the website, booking or purchasing a service, purchasing a session series, enrolling in a program or offering, or otherwise participating in KIYA Wellness services, you acknowledge that you have read, understood, and agreed to these Terms and any additional terms or agreements applicable to your specific purchase or participation.
1. Eligibility
KIYA Wellness private services and paid offerings are intended for individuals who are at least eighteen (18) years of age and legally capable of entering into a binding agreement, unless KIYA Wellness expressly agrees otherwise in writing and any required parent or legal guardian consent has been obtained.
By purchasing or participating in services, you represent that you have the legal capacity to enter into these Terms.
2. Payment, Scheduling & Cancellation
Unless otherwise stated in a separate written agreement or at the time of purchase, the following policies apply to private sessions, prepaid session series, coaching programs, workshops, trainings, mentorships, and other KIYA Wellness services.
Payment & Card on File
Payment is due according to the terms presented at the time of booking, purchase, or enrollment.
A valid credit or debit card may be required to reserve an appointment, enroll in a program, or purchase an offering.
By providing a payment method, you authorize KIYA Wellness and its payment processor to securely store and charge that payment method for amounts you have agreed to pay, including applicable session fees, program payments, installment payments, cancellation fees, no-show fees, and outstanding balances, in accordance with these Terms and any applicable agreement.
Cancellation & Rescheduling
Private appointments may be canceled or rescheduled with at least twenty-four (24) hours’ notice before the scheduled start time without a cancellation fee.
For individually purchased sessions, cancellations or rescheduling requests made less than twenty-four (24) hours before the scheduled appointment may be charged up to 50% of the applicable session fee.
For prepaid session series or coaching programs, a session canceled or rescheduled with less than twenty-four (24) hours’ notice may be considered used and deducted from the client’s remaining sessions.
No-Shows
Failure to attend a scheduled appointment without notice is considered a no-show.
Individually purchased appointments may be charged 100% of the applicable session fee.
For prepaid session series or coaching programs, a no-show may be considered a used session and deducted from the client’s remaining sessions.
Late Arrivals
Sessions begin and end at the scheduled time.
If you arrive late, your session may be shortened accordingly and the full session fee will still apply.
Arrivals more than fifteen (15) minutes late may be treated as a no-show at the practitioner’s discretion.
3. Refund Policy
Except where otherwise required by applicable law or expressly agreed to by KIYA Wellness in writing, purchases of services, prepaid session series, coaching programs, workshops, trainings, certifications, mentorships, and digital offerings are final and non-refundable.
Purchasing a prepaid session series or enrolling in a fixed-term coaching program constitutes a commitment to the complete series or program rather than the purchase of services on a month-to-month basis.
Choosing an installment or payment plan does not convert a fixed-term program into a monthly subscription or provide a right to cancel the remaining financial commitment.
If you choose to discontinue participation before completing a prepaid series or coaching program, unused sessions are not eligible for a cash refund and any remaining payment obligations continue according to the terms accepted at purchase or enrollment, except where otherwise required by applicable law or agreed to by KIYA Wellness in writing.
4. Private Coaching Programs
KIYA Wellness may offer private coaching programs of varying lengths, session frequencies, levels of support, and program structures.
Private Coaching Programs are separate from individually purchased sessions and prepaid session series.
The specific duration, number and length of sessions, investment, payment schedule, inclusions, communication access, and other applicable details will be disclosed at enrollment and/or included in a separate coaching agreement.
Clients are responsible for scheduling and attending sessions within the designated program period.
Unless otherwise agreed in writing, unused sessions do not roll over beyond the applicable program period and have no cash value.
Private Coaching Programs are non-transferable.
Missed or late-canceled sessions are subject to the cancellation policy in these Terms and any additional provisions contained in the applicable coaching agreement.
KIYA Wellness may reasonably modify scheduling or program logistics when necessary. Material changes affecting an enrolled client’s program will be communicated directly.
5. Prepaid Session Series
KIYA Wellness may offer prepaid multi-session series for certain services, including, but not limited to, somatic coaching, hypnotherapy, breathwork, coaching, and other wellness or personal-development services.
A prepaid session series is separate from a Private Coaching Program and includes only the number and type of sessions specified at the time of purchase unless otherwise stated in writing.
The number and length of sessions, investment, expiration period, delivery format, and any additional terms applicable to the series will be disclosed at the time of purchase.
Clients are responsible for scheduling and completing all sessions within the timeframe specified for the purchased series.
Unused sessions expire at the end of the applicable period, have no cash value, and do not roll over unless otherwise agreed to by KIYA Wellness in writing or required by applicable law.
Prepaid session series are non-transferable and non-refundable except where otherwise required by applicable law.
Sessions canceled or rescheduled with less than twenty-four (24) hours’ notice, as well as no-shows, may be considered used and deducted from the remaining sessions in the series.
6. Payment Plans
Where a payment plan is offered, it is provided as a convenience for paying the total investment of a fixed-term program, training, or other offering in installments.
By selecting a payment plan, you authorize KIYA Wellness and its payment processor to charge the payment method provided according to the payment schedule disclosed at enrollment or purchase.
You remain responsible for the full agreed-upon investment regardless of attendance, participation, or completion, subject to applicable law and any written agreement stating otherwise.
If a scheduled payment fails or becomes past due, you agree to promptly provide an updated payment method and bring your account current.
KIYA Wellness may pause sessions, coaching access, program materials, certifications, or other services while an account has an outstanding balance.
Any applicable late-payment or returned-payment fee will be disclosed before purchase and will apply only to the extent permitted by applicable law.
7. Online Courses, Workshops & Digital Content
Online courses, workshops, trainings, recordings, and digital materials are provided for educational and personal-development purposes.
Unless otherwise stated or required by applicable law, digital offerings are non-refundable once purchased or accessed.
Materials may not be copied, reproduced, recorded, distributed, sold, shared, published, taught, or used commercially without prior written permission from KIYA Wellness.
If a live workshop or training will be recorded, participants will be informed. Additional consent will be obtained where required for identifiable participant contributions or appearances.
8. Certifications & Professional Trainings
Where KIYA Wellness offers certification or professional training, certification is granted only upon successful completion of the requirements specified for that program and satisfaction of applicable payment obligations.
Completion of a KIYA Wellness training or certification does not grant any professional license, healthcare license, or authority beyond the specific certification or training expressly provided.
Participants remain responsible for understanding and complying with laws, regulations, professional standards, insurance requirements, and scope-of-practice requirements applicable to their own work.
KIYA Wellness reserves the right to withhold or revoke certification where program requirements have not been completed or where there are serious ethical, safety, payment, or scope-of-practice concerns, subject to the applicable training agreement and applicable law.
Additional terms may apply to individual certifications or professional trainings.
9. Chargebacks & Payment Disputes
If you believe you have been charged incorrectly, please contact KIYA Wellness promptly so that we have an opportunity to review and resolve the issue.
Cancellation fees, no-show fees, installment payments, session-series payments, and other authorized charges will be processed according to the policies and agreements accepted at the time of purchase or enrollment.
Nothing in these Terms is intended to restrict any rights available to you under applicable consumer-protection, banking, or payment-card laws.
10. Scope of Services & Professional Disclaimer
KIYA Wellness provides holistic, educational, coaching, and personal-development services.
Depending on the service or program, modalities may include coaching, somatic coaching and somatic practices, hypnotherapy, breathwork, NLP techniques, EFT, meditation, sound practices, yoga-based practices, and other complementary approaches.
Services are intended for personal development, education, self-exploration, and general wellbeing.
Unless expressly provided by an appropriately licensed professional acting within that professional’s licensed scope, KIYA Wellness services are not medical care, psychotherapy, psychiatric treatment, diagnosis, or treatment of a medical or mental-health condition.
KIYA Wellness services are not a substitute for care from a qualified physician, psychotherapist, psychiatrist, or other licensed healthcare professional.
Somatic Coaching is provided as a coaching and personal-development service and is not psychotherapy or mental-health treatment.
You are responsible for determining whether participation is appropriate for you and for consulting an appropriate licensed healthcare professional when necessary.
If you are experiencing a medical or mental-health emergency, contact appropriate emergency or licensed healthcare services rather than relying on KIYA Wellness services.
11. No Guarantees
Personal growth, coaching, wellness, and educational outcomes vary from person to person.
KIYA Wellness does not guarantee any particular outcome, transformation, financial result, health result, relationship result, business result, or other specific benefit from participation in its services, programs, or offerings.
Testimonials, examples, and descriptions of previous client experiences represent individual experiences and do not guarantee that you will achieve the same or similar results.
Your results depend on numerous factors, including your individual circumstances, participation, choices, actions, and implementation.
12. Assumption of Risk & Informed Participation
Some KIYA Wellness practices may involve physical movement, breathing exercises, changes in breathing patterns, emotional exploration, somatic awareness, relaxation, meditation, guided visualization, hypnosis, sound, or other experiential techniques.
You acknowledge that participation may bring up physical sensations, emotional responses, memories, thoughts, discomfort, fatigue, or other experiences.
Participation is voluntary.
You are responsible for communicating relevant concerns, injuries, health considerations, medications, pregnancy, limitations, or other circumstances that may affect your ability to participate safely when appropriate to the service being provided.
You may decline, modify, pause, or stop a particular practice or exercise at any time.
You understand that you are responsible for listening to your body, communicating your boundaries, and determining whether continued participation is appropriate for you.
Certain services may require you to complete a separate informed-consent form, health questionnaire, and/or liability waiver before participating.
13. Client Responsibility
You remain responsible for your own choices, decisions, actions, boundaries, and wellbeing before, during, and after participation in KIYA Wellness services.
Information, suggestions, practices, coaching questions, or other guidance provided through KIYA Wellness are not a substitute for your own judgment or appropriate professional advice.
Participation in coaching, Somatic Coaching, hypnotherapy, breathwork, or other KIYA Wellness services does not create a physician-patient or psychotherapist-patient relationship.
14. Right to Refuse, Pause, or Terminate Services
KIYA Wellness reserves the right to decline, pause, or terminate services when reasonably necessary, including circumstances involving non-payment, inappropriate or abusive conduct, repeated boundary violations, safety concerns, failure to comply with these Terms or an applicable agreement, or circumstances in which continuing services is no longer appropriate or within the scope of services provided.
When appropriate, KIYA Wellness may recommend that a client seek support from a licensed medical, mental-health, or other qualified professional.
Any financial obligations or refunds associated with termination will be handled according to the applicable agreement, these Terms, and applicable law.
15. Confidentiality & Privacy
KIYA Wellness respects the privacy of information shared during private sessions and will make reasonable efforts to maintain confidentiality.
Confidentiality is not absolute and may be limited where disclosure is required or permitted by applicable law, necessary to respond to an emergency or safety concern, or otherwise authorized by you.
Because coaching and holistic wellness services may not carry the same legal confidentiality protections as services provided by licensed psychotherapists, physicians, attorneys, or other legally privileged professionals, you should not assume communications with KIYA Wellness are legally privileged.
KIYA Wellness's collection and use of personal information is also governed by its applicable Privacy Policy.
16. Intellectual Property
Unless otherwise stated, KIYA Wellness materials, frameworks, exercises, written content, audio, video, recordings, course materials, training materials, graphics, and other original resources are owned by KIYA Wellness LLC or used with appropriate authorization.
Materials provided to you are for your individual, personal use unless a written license expressly permits another use.
You may not reproduce, distribute, sell, publish, upload, record, teach, license, create derivative commercial materials from, or otherwise commercially exploit KIYA Wellness materials without prior written permission.
Participation in a coaching program, certification, training, workshop, or other offering does not transfer ownership of KIYA Wellness intellectual property.
Third-party modalities, methods, frameworks, trademarks, names, and materials remain the property of their respective owners where applicable.
17. Recording
You may not audio-record, video-record, photograph, screen-record, or otherwise record private sessions, coaching sessions, workshops, trainings, or other KIYA Wellness services without prior permission from KIYA Wellness and, where applicable, other participants.
KIYA Wellness will provide notice and obtain any consent required by applicable law before recording identifiable client or participant contributions.
18. Technology & Virtual Sessions
Private coaching, Somatic Coaching, hypnotherapy, breathwork, and other private sessions are currently offered virtually through Zoom or another designated online platform unless otherwise expressly stated for a particular offering.
You are responsible for having a reliable internet connection, compatible device, and a private and reasonably safe environment appropriate for your session.
KIYA Wellness cannot guarantee uninterrupted service, availability, or complete security of third-party technology platforms.
If a significant technical issue prevents a session from taking place or materially interrupts a session, KIYA Wellness will make reasonable efforts to reschedule or otherwise address the affected service.
19. Third-Party Platforms, Resources & Links
KIYA Wellness may use or provide links to third-party websites, applications, payment processors, scheduling platforms, videoconferencing services, educational resources, products, or other services.
KIYA Wellness does not control third-party services and is not responsible for their availability, content, security, privacy practices, policies, products, or services.
The inclusion of a third-party resource or link does not necessarily constitute an endorsement.
Your use of third-party services is subject to the terms and policies of the applicable third party.
20. Website Use
The KIYA Wellness website and its content are provided for lawful, personal, and informational use.
You may not use the website in a manner that violates applicable law, infringes intellectual-property rights, interferes with the website or its security, attempts to gain unauthorized access to restricted systems, or otherwise harms KIYA Wellness or another person.
Information provided through the KIYA Wellness website, emails, social media, educational materials, and other public content is provided for general informational and educational purposes and should not be interpreted as individualized medical, psychological, legal, financial, or other licensed professional advice.
21. Force Majeure
KIYA Wellness will not be responsible for delays, interruptions, cancellations, or inability to perform obligations caused by circumstances reasonably beyond its control, including significant internet or technology outages, natural disasters, severe weather, fire, public emergencies, governmental actions, widespread service disruptions, or similar unforeseen events.
When reasonably possible, KIYA Wellness will make appropriate efforts to communicate with affected clients and reschedule or otherwise address impacted services.
22. Limitation of Liability
To the fullest extent permitted by applicable law, KIYA Wellness LLC and its owners, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or similar damages arising from or related to your use of the website, participation in services or offerings, or use of information or materials provided by KIYA Wellness.
Nothing in these Terms is intended to exclude, waive, or limit liability that cannot lawfully be excluded, waived, or limited under applicable law.
Any additional release or assumption-of-risk provisions applicable to a particular activity or service may be contained in a separate informed consent, liability waiver, or participation agreement.
23. Indemnification
To the fullest extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, damages, or expenses arising from your unlawful conduct, material violation of these Terms, infringement or misuse of KIYA Wellness or third-party intellectual property, or unauthorized commercial use or distribution of KIYA Wellness materials.
Nothing in this provision requires you to indemnify KIYA Wellness for liability that cannot lawfully be shifted to you.
24. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
25. Dispute Resolution
KIYA Wellness and you agree to make a good-faith effort to resolve any dispute informally before initiating formal legal proceedings.
Any arbitration agreement, jury-trial waiver, class-action waiver, or other binding dispute-resolution requirement applicable to a particular service or program must be separately stated in the applicable client, purchase, program, or training agreement and will apply only to the extent permitted by applicable law.
26. Changes to These Terms
KIYA Wellness may update these Terms periodically.
The current version and most recent revision date will be made available through the KIYA Wellness website.
Changes will apply prospectively unless otherwise permitted by law.
Material changes will not retroactively alter material financial terms of an existing paid program or prepaid session series unless mutually agreed or otherwise permitted by applicable law.
27. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will continue in full force and effect to the fullest extent permitted by law.
28. No Waiver
KIYA Wellness's failure to enforce any provision of these Terms does not constitute a waiver of that provision or of the right to enforce it later.
Any waiver by KIYA Wellness must be expressly made in writing.
29. Entire Agreement
These Terms, together with any applicable booking terms, purchase terms, informed consent, liability waiver, coaching agreement, training or certification agreement, and other written agreement accepted in connection with a particular service or offering, constitute the agreement governing your participation.
If a specific written client, program, purchase, booking, training, or participation agreement conflicts with these general Terms, the more specific agreement will control with respect to that particular service or offering.
